Terms and Conditions

1. Acceptance of these Terms

These Terms of Use (the “Terms”) form a binding agreement between you and the entity identified above (“Capito,” “we,” “us,” or “our”) and govern your access to Capito’s websites, web application, browser extension, reports, practice experiences, and related services (collectively, the “Service”). By creating an account, installing the extension, purchasing a subscription, clicking an acceptance button, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. What Capito does

Capito is an AI-assisted English speaking and accent-coaching service for people who already use English in real professional conversations. Depending on the feature you choose, Capito may capture audio that you intentionally start recording, generate a transcript, analyze your own speech, identify pronunciation, accent, clarity and fluency patterns, and create personalized feedback and practice activities based on the English you actually used.

Capito is designed to work without adding a visible bot participant to a supported meeting. This does not mean a meeting is not being captured. You remain responsible for making any legally required disclosures and obtaining any legally required permissions from other participants.

3. Eligibility and accounts

  • You must be at least 18 years old and legally able to enter into a contract to use the Service.

  • You must provide accurate account information and keep your login credentials secure.

  • You are responsible for activity performed through your account, except to the extent caused by our breach of security obligations.

  • You may not share an account in a way that circumvents subscription limits or security controls.

4. Meeting capture, recording and participant consent

This section is important. Laws, workplace rules, and platform policies governing recording, transcription, monitoring, wiretapping, privacy, and confidentiality vary by country, state, employer, and meeting context.

  • Capito only intends to capture meeting or microphone audio after an affirmative action by the user to start the relevant feature.

  • Before starting capture, you must determine whether you have the legal right and organizational permission to record, transcribe, or otherwise process the conversation.

  • Where notice or consent of participants is required, you are responsible for providing that notice and obtaining that consent before using Capito.

  • You must not use Capito for covert surveillance, unlawful interception, or recording of conversations where you are prohibited from doing so.

  • You should not use Capito in highly sensitive or regulated conversations (for example, medical, legal-privilege, financial-account, credential, classified, or similarly confidential discussions) unless you are authorized and your organization permits it.

  • If another participant asks you to stop recording or processing the meeting, you must comply when required by law, policy, or agreement.

Capito does not provide legal advice about whether a particular meeting may be recorded. If you are unsure, do not capture the meeting until you have confirmed the applicable requirements.

5. Third-party platforms and integrations

The Service may interoperate with third-party products such as Google Chrome, Google Meet, identity providers, payment processors, hosting providers, speech-processing providers, and AI providers. Those third parties are governed by their own terms and privacy practices. Capito does not control and is not responsible for third-party services. Features may change or stop working if a third party changes its APIs, permissions, technical requirements, or policies.

6. Subscriptions, billing and cancellation

  • Paid plans, billing periods, prices, included usage, and taxes are shown at checkout and may vary by country or promotion.

  • Unless otherwise stated at checkout, paid subscriptions automatically renew at the end of each billing period until canceled.

  • You may cancel renewal through the account or billing settings made available to you. Cancellation normally takes effect at the end of the current paid period.

  • Fees already charged are non-refundable except where required by law or expressly stated in a refund policy or promotional offer.

  • We may change future subscription prices by giving advance notice as required by applicable law. A price change will apply no earlier than your next renewal after the notice period.

Before publishing, confirm the exact refund and cancellation flow: [INSERT PAYMENT PROCESSOR / REFUND WINDOW / FREE-TRIAL RULES]

7. AI-generated feedback and educational nature

Capito uses automated and AI-assisted systems. Transcripts, pronunciation assessments, scores, recommendations, phonetic labels, examples, and other outputs may contain errors or may not reflect every valid English accent, dialect, speaking style, or context. The Service is intended for educational and self-improvement purposes, not as a certification of language proficiency or a guarantee of professional performance.

  • Capito does not guarantee that you will eliminate an accent, achieve a specific proficiency level, obtain a job, close a sale, receive a promotion, or achieve any other career result.

  • Accent and dialect diversity are legitimate forms of speech. Capito’s goal is to help users improve intelligibility, pronunciation, clarity, and confidence according to their selected learning goals, not to imply that one identity or accent is inherently superior.

  • You should use your own judgment before relying on feedback in high-stakes professional, academic, legal, medical, or other consequential contexts.

8. Acceptable use

You agree not to use the Service to:

  • violate any law, privacy right, wiretap or recording rule, contractual duty, employer policy, or third-party platform term;

  • secretly monitor, stalk, harass, exploit, or surveil another person;

  • record minors or educational settings involving minors without all permissions required by law and the relevant institution;

  • collect passwords, payment-card data, government identifiers, protected health information, or other highly sensitive information unless strictly necessary and lawfully authorized;

  • reverse engineer, scrape, copy, resell, sublicense, or commercially exploit the Service except as expressly permitted;

  • interfere with security controls, usage limits, anti-abuse systems, or the operation of the Service;

  • upload malicious code, infringing content, or material you do not have the right to process; or

  • use the Service to develop or benchmark a competing model or product using Capito content or proprietary outputs without our written permission.

9. Your content and license to operate the Service

As between you and Capito, you retain your rights in content you lawfully provide to or capture through the Service, including your recordings, transcripts, and practice submissions (“User Content”). You grant Capito a limited, non-exclusive, worldwide license to host, process, reproduce, transmit, and create technical derivatives from User Content only as reasonably necessary to provide, secure, support, and improve the features you use, subject to our Privacy Policy and applicable law.

Unless you separately opt in through a clear product control, Capito will not use the content of your private meeting audio, transcripts, or practice recordings to train generalized AI models.

10. Capito intellectual property

The Service, including its software, user interface, branding, lesson design, proprietary prompts, scoring logic, reports, graphics, and other Capito materials, is owned by Capito or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive right to use the Service for your personal or internal professional development.

11. Feedback

If you voluntarily provide ideas, suggestions, or product feedback, you allow us to use that feedback without restriction or payment, provided we do not publicly identify you as the source without permission.

12. Privacy and security

Our Privacy Policy explains how we collect, use, retain, and share personal data. You agree that use of the Service is subject to that policy. We use reasonable administrative, technical, and organizational safeguards, but no system can guarantee absolute security.

13. Suspension and termination

You may stop using Capito at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, created security or legal risk, failed to pay applicable fees, abused the Service, or if continuing to provide the Service would violate law or a third-party platform requirement. Where reasonably possible, we will provide notice before a non-urgent suspension.

Upon termination, your right to use the Service ends. Data deletion and retention are governed by the Privacy Policy and applicable law.

14. Service changes and availability

We may add, modify, limit, or discontinue features. We do not guarantee uninterrupted availability, compatibility with every meeting platform, browser configuration, employer environment, or third-party extension. We will use commercially reasonable efforts to provide notice of material changes that significantly reduce a paid Service.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CAPITO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT AI-GENERATED OUTPUTS WILL BE ERROR-FREE, COMPLETE, OR SUITABLE FOR A PARTICULAR RESULT. NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPITO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPITO’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CAPITO FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold Capito harmless from third-party claims, damages, and reasonable costs arising from your unlawful recording or processing of another person, your User Content, or your material breach of these Terms. This section does not require you to indemnify Capito for Capito’s own unlawful conduct.

18. Consumer rights

Nothing in these Terms limits mandatory consumer rights available under applicable law. If you are a consumer in a jurisdiction that provides non-waivable cancellation, refund, warranty, dispute, or data-protection rights, those rights apply notwithstanding conflicting language in these Terms.

19. Governing law and disputes

These Terms are governed by [GOVERNING LAW / JURISDICTION], without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise. Courts located in [VENUE] will have jurisdiction, unless applicable law gives you the right to bring a claim elsewhere.

Before filing a formal claim, you and Capito agree to attempt in good faith to resolve the dispute by contacting the other party, unless doing so would prejudice a legal right or is not required by applicable law.

20. Changes to these Terms

We may update these Terms to reflect changes in the Service, law, security, or business practices. If a change materially affects your rights, we will provide notice through the Service, email, or another reasonable method before the change takes effect when required by law. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
